Company Introduction

Pathfinder Resources is an energy infrastructure company focused on powering the next generation of artificial intelligence (AI), cloud computing, and bitcoin mining operations. By leveraging abundant domestic energy resources, including natural gas and forest biomass, the Company aims to provide rapidly deployable, cost-effective, and sustainable power solutions that support growing data center demand without placing additional strain on the traditional electrical grid. Pathfinder's mission is to generate revenue while building decentralized energy infrastructure that strengthens America's energy independence and supports the technological growth driving the future economy.

The Company combines extensive expertise in oil and gas development and forestry with innovative mobile power and data center technologies. Pathfinder plans to deploy containerized energy and computing facilities directly at natural gas production sites, converting underutilized or flared natural gas into valuable electricity for bitcoin mining, AI computing, and cloud services. With access to attractive natural gas and timber resources in the Permian Basin, established industry relationships, and modern communications technologies such as Starlink and fiber optic networks, Pathfinder is positioned to capitalize on the increasing demand for reliable, scalable, and distributed energy solutions across the United States.

Offering Summary

Pathfinder Resources is developing a decentralized, modular biomass-to-energy platform designed to meet the growing power demands of data centers, artificial intelligence (AI) computing, cloud storage, and bitcoin mining operations. The Company plans to deploy scalable cogeneration systems that convert forest biomass into reliable electricity and thermal energy, utilizing mobile and containerized infrastructure that can be transported on standard semi-truck trailers. By pairing these energy systems with modular data centers, Pathfinder aims to provide off-grid and behind-the-meter power solutions capable of supporting digital infrastructure in both remote and industrial locations.

The Company’s business model integrates forest management, timber harvesting, biomass processing, power generation, and data center operations into a single value chain. Through its working relationship with Pathfinder Engineering, Inc., Pathfinder intends to acquire forestry leases, harvest timber, process wood products, and utilize residual biomass to fuel cogeneration facilities. This approach not only creates multiple revenue streams from timber, logging, and power generation, but also addresses wildfire mitigation by removing hazardous forest fuels from fire-prone landscapes. Existing forestry contracts, timber supply relationships, and operational expertise provide a foundation for near-term revenue generation while supporting long-term infrastructure development.

Pathfinder believes that increasing demand for AI computing and data processing creates a significant opportunity to transform underutilized forest resources into valuable energy assets. Advances in communications technologies, including Starlink, cellular networks, and fiber optic infrastructure, enable data centers to operate in locations previously considered inaccessible. The Company intends to use offering proceeds to further develop biomass-powered energy facilities, modular data centers, and related infrastructure projects, with future opportunities including wildfire restoration initiatives, rehabilitation of existing cogeneration plants, strategic resource development, and secure energy solutions for commercial and government computing applications.

When the AI boom created unprecedented demand5 for distributed energy, Pathfinder's leadership saw what most people missed: America already has the fuel. It's in our forests. It's in our gas wells. It just needs to be converted into power, on-site, at scale.

The Pathfinder Opportunity

Investing in Pathfinder Resources offers a strategic opportunity to participate in the rapidly expanding infrastructure that powers the modern digital economy. As global demand for data centers continues to accelerate—driven by artificial intelligence, cloud computing, and high-performance computing—reliable energy and resource supply has become one of the most critical components of the industry2. Pathfinder Resources is positioned at the intersection of this demand, focusing on the essential energy and raw resources required to sustain and scale data center operations. With access to resources estimated to support production for up to 1,000 years, the Company is built around long-term supply stability in a sector that increasingly depends on secure energy inputs3.

Another key advantage of Pathfinder Resources lies in its unique locations and specialized operational expertise.1 By operating in strategically selected areas with strong resource availability, the Company is able to efficiently extract and deploy energy resources that directly support data infrastructure growth. This approach is strengthened by a team with specialized industry skills and by the fact that Pathfinder is building from an existing operational foundation rather than starting from scratch. Leveraging an established business base could reduce early-stage risk and allow new investments to move more quickly from development into productive operations.

Finally, Pathfinder Resources offers a flexible and scalable investment structure designed to accommodate a wide range of capital participation. Projects can be developed modularly, enabling investments that range from approximately $100,000 to as much as $1 billion. This scalable approach allows the Company to rapidly deploy capital and bring new revenue streams online in less than 12 months. The combination of strong market demand, long-term resource availability, and experienced operations makes Pathfinder Resources a compelling investment opportunity in the evolving energy and technology infrastructure market.
